Salary Range: $119,000 –$165,000 (commensurate with education and experience)

THE POSITION
As its chief legal officer, the Saint Paul Port Authority’s general counsel oversees and manages all of the Port Authority’s legal services, as well as the legal needs of Capital City Properties, the Port Authority’s wholly-owned 501(c)(3) corporation. The General Counsel ensures the Port Authority complies with its legal obligations and is legally protected. The General Counsel works closely with all Port Authority departments.

PRIMARY RESPONSIBILITIES
- Board Governance Responsibility and Oversight. Ensure proper governance, legal compliance, and notice and meeting protocols, knowledge of Minnesota Data Practices Act and Open Meeting law.
- Operations and Management. Oversee all contract drafting and approvals, such as purchase agreement, leases, licenses, construction contracts, professional service agreements, and financing agreements; ensure legal and regulatory compliance.
- Real Estate Redevelopment and Harbor Management. Drafts, negotiates, and facilitates real estate purchases, sales, redevelopment transactions, site plans, land use, zoning, environmental reviews, access rights, easements, licenses, leases, grant programs, and professional or vendor service agreements.
- Public Finance. Drafts, reviews, and approves loan documents, including the Port Authority’s Property Assessed Clean Energy (PACE) program. Retains and works with public finance counsel on general and revenue obligation bond issuances and other public financing matters such as Tax Increment Financing, Assessments, and Green Infrastructure Districts.
- Insurance and Risk Management. Ensures best risk management practices for the entire organization; responsible for securing insurance coverage and overseeing insurance claims.
QUALIFICATIONS
- J.D. from an ABA-accredited law school
- Seven or more (7+) years of job-related experience
- Or equivalent combination of education and experience to perform the essential functions of the job

First established in 1929 by the Minnesota Legislature to manage the Saint Paul Harbor, the Port Authority was granted inland economic development authority in 1955. With its four ports in the Saint Paul Harbor and 16 inland business centers, the Port Authority’s mission is to expand the Saint Paul tax base, serve as a conduit to quality job opportunities, advance sustainable and equitable development, and advocate for river commerce.
